Planned North American Spin-Off Announces Leadership Team and Board of Directors

The formation of a new North American company, a spin-off led by Holcim, is set to take effect by the end of the first half of 2025, subject to shareholder and customary approvals. The Board of Directors for the new entity will consist of 10 members, with Jan Jenisch appointed as the designated Chairman and CEO.

Currently serving as Chairman of Holcim, Jenisch has been instrumental in overseeing the spin-off and its planned listing. Previously, he served as Holcim’s CEO from 2017 to 2024 and will remain Chairman of Holcim until its Annual General Meeting on May 14, 2025.

The Holcim Board has also selected nine independent directors for the North American company’s Board, comprising accomplished executives with expertise in construction, manufacturing, industrial operations, and financial services. These directors bring extensive leadership experience, having served as CEOs, CFOs, and other senior roles, and possess significant knowledge of the North American market.

The designated Board members include:

• Theresa Drew: A former Managing Partner at Deloitte & Touche LLP’s Carolinas Practice, Drew currently serves on the boards of Sonoco Products Company and The Cato Corporation.
• Nicholas Gangestad: Previously CFO of Rockwell Automation, Inc. and 3M Company, Gangestad serves on the boards of Nucor Corporation and Genpact Limited.
• Dwight Gibson: An Operating Partner at Pritzker Private Capital, Gibson has served as President, CEO, and board member of BlueLinx Holdings Inc. He is also on the board of Interface, Inc.
• Jan Jenisch: Chairman of Holcim since 2023 and former CEO from 2017 to 2024. Before joining Holcim, Jenisch was CEO of Sika AG.
• Holli Ladhani: Former President, CEO, and board member of Select Energy Services, Inc., Ladhani also served as Chairman and CEO of Rockwater Energy Solutions, Inc. She is currently on the board of Quanta Services, Inc.
• Michael E. McKelvy: President, CEO, and board member of McDermott International, Ltd. Previously, McKelvy held executive positions at Gilbane Building Company and CH2M HILL Companies, Ltd.
• Jürg Oleas: A member of the Holcim Board since 2016, Oleas has held leadership positions at GEA Group AG, ABB, and the Alstom Group.
• Robert S. Rivkin: Senior Vice President and Chief Legal Officer at United Airlines Holdings, Inc., Rivkin has previously served as Deputy Mayor of Chicago, Deputy General Counsel at Delta Air Lines, Inc., and General Counsel for the U.S. Department of Transportation.
• Katja Roth Pellanda: Group General Counsel at Zurich Insurance Company Ltd, Pellanda also serves on the boards of Farmers Group, Inc. and Zurich Italy Bank, S.p.A.
• Cristina A. Wilbur: Chief People Officer and Head of Group Human Resources at F. Hoffmann-La Roche, Ltd., Wilbur has held HR leadership roles at Roche and other global organizations.

This leadership team is tasked with driving the strategic goals of the new North American company, with a particular focus on advancing CausewayOne, a cloud platform aimed at fostering a fully digitized and connected construction industry. The Board’s collective expertise positions the company to thrive as it enters this new chapter.
